ASSIGNMENT

This Assignment is made by person or entity named below (“Assignor”) to Shri Ram Chandra Mission – India, located at “Gayathri”, 19, North Street, Sriram Nagar, Chennai, 600 018 India (“Assignee”) (collectively the “Parties”).

WHEREAS, Assignor has created and continues to create original copyrighted works for publication in various media in connection with the Shri Ram Chandra Mission and/or the Sahaj Marg system of meditation (collectively the “Copyrighted Works”); and

WHEREAS, Assignor desires to assign and transfer all of his/her/its rights in the Copyrighted Works as detailed below, regardless of medium, to Assignee.

WHEREAS, Assignor is the sole owner of the intellectual property embodied in the Copyrighted Works and any unassigned Pre-Existing Copyrighted Works, and Assignor has not assigned any of his intellectual property rights or interests in the Copyrighted Works or in the unassigned Pre-Existing Copyrighted Works to another person or entity;

WHEREAS, Assignor desires to fulfill the terms and conditions of the prior agreements by assigning, transferring and conveying all of his intellectual property rights and interests in the New Copyrighted Works and the unassigned Pre-Existing Copyrighted Works (including without limitation, the right to create derivative works, including translations, based on the New Copyrighted Works and the unassigned Pre-Existing Copyrighted Works) to Assignee, including without limitation, the New Copyrighted Works created or authored since Assignor executed the prior assignments; and

WHEREAS, Assignor also desires to assign, transfer and convey to Assignee all of Assignor’s intellectual property rights and interests in the copyrighted works (including without limitation, the right to create derivative works based on the copyrighted works) that Assignor creates or authors in the future in connection with the Sahaj Marg system of meditation and/or the Shri Ram Chandra Mission.

WHEREAS, Assignor agrees that Assignee may at its sole discretion authorize Sahaj Marg Spirituality Foundation, Spiritual Hierarchy Publication Trust or any other institution or corporation to publish the Material with the same rights conveyed by the Author to SRCM in this assignment and release.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. Assignor assigns and transfers all of his/her/its rights and interests in the Copyrighted Works (including the right to create derivative works based on the Copyrighted Works) to Assignee.
2. Assignor agrees that upon his/her/its signing of this Assignment, Assignee shall become the sole owner of all intellectual property in the Copyrighted Works (including all works derivative of the Copyrighted Works) and that the Assignee may further license or assign the Copyrighted Works to third parties.
3. The Assignor agrees to cooperate, at the Assignor‘s expense, to execute documents or take actions necessary to perfect Assignor’s ownership in the Copyrighted Works under this Assignment and Release.
4. Assignor agrees that this written Assignment by Assignor to Assignee of all of the Assignor’s rights and interests in the Copyrighted Works is unconditional and irrevocable.
5. Assignor agrees to assign and transfer all of his/her/its rights and interests in all Copyrighted Works (including the right to create derivative works based on the Copyrighted Works) that Assignor creates in the future in any medium, including translations.
6. Assignor agrees to take all actions reasonably requested by Assignee to confirm Assignee’s ownership of all of Assignor’s rights and interests in (a) he existing Copyrighted Works and (b) the Copyrighted Works that Assignor creates in the future in connection with the Sahaj Marg system of meditation.
7. Assignor agrees to indemnify Assignee, its President, directors, officers, employees, and representatives and hold them harmless from any claim, lawsuit, proceeding, damages, liability, loss, or costs (including but not limited to attorney’s fees and related defense costs) arising from or related to Assignee’s enforcement of its rights under this Assignment and Release and/or a violation of the Assihnor’s warranties above.
8. This agreement shall be binding on the personal representatives and permitted assigns or licensees of the parties, and shall be interpreted in accordance with the laws of the Republic of India. The President of the Assignee, whose decision shall be final and legally binding to both the Assignor and Assignee, shall arbitrate all disputes. The venue for any action to enforce this assignment shall be in the Republic of India as chosen by Assignee.
9. This Assignment is the entire agreement between the Assignor and Assignee; no other understandings or agreements, written or oral, exist with respect to the Material. This Agreement may be modified only by a written agreement signed by both Parties.
